The Platform is owned and operated by Platinum Specialties under the Brand Name of Paintsmart , a company incorporated under the laws of India and having its registered office at – 3/2, Kumalankuttai Road Opp GHS School Kumalankuttai, Erode- 638011 Tamil Nadu, India.This Vendor Agreement (“Agreement”) is made between Platinum Specialties under the Brand Name of Paintsmart (herein after referred to as “Paintsmart”, “Platform”, “We”, or “Us”) and the Vendor (“You” or “Seller”), collectively referred to as the “Parties”. Paintsmart enables transactions between the buyers (“Buyers”) and participant merchants dealing in selling of paints & painting tools. The Buyers who visit the Platform can choose and place orders (“Orders”) from variety of products made available for sale by various seller like you (“Merchant/vendors/sellers”) on the Platform.This Agreement governs your use of the Paintsmart vendor portal, listing of products, order fulfillment, payments, returns, and related services.
1.General Conditions Rights & Recommendations
Paintsmart operates a multi-vendor online marketplace that allows registered vendors to list and sell Paints, Tools, and related products directly to customers through the website www.paintsmart.in.
All Product terms are offered by you and agreed by the Buyers alone with respect to product and services you provide on the Platform. Paintsmart is only providing a platform for sale of any of the products or services shall be a strictly bipartite contract between the Vendor and the Buyer.
The Product terms include without limitation, price of the products, applicable taxes, shipping costs, payment methods, payment terms, date, period and mode of delivery, quality and warranties related to products and after sales services related to products. Paintsmart does not have any control or determine or advise not involve itself in the offering or acceptance of such Product terms between the Buyers and Merchants.
Paintsmart does not make any representations, guarantees or warranties of the products sold by the Vendor on the Platform, to the Buyers. D. Paintsmart is operating an online marketplace and assumes the role of facilitator only. Paintsmart have any obligations or liabilities in respect of such contract entered into between Merchant and Buyer including but not limited to product liability.
In case of complaints from the Buyer pertaining to product efficacy, quality, or any other such issues, Paintsmart shall notify the same to Merchant and shall also redirect the Buyer to the consumer call centre, wherever applicable. Merchant shall alone be liable for redressing and bound to take action on the complaints by the Buyer. Paintsmart has the right to share with the Buyer, the relevant information including the Merchant details to enable satisfactory resolution of the complaint.
You agree that Paintsmart is not responsible for any dealing with underage persons or people acting under false pretence.
You agree, undertake and confirm that your use of Platform shall be strictly governed by the binding principles more fully detailed in the Terms of Use. H. Paintsmart may provide recommendations on various campaigns, product categories, and discounts based on analytics, data gathering exercises, etc. The Parties may mutually agree on various modalities for providing discounts, if any, on the products sold by the Merchant on the Platform from time to time. The Merchant shall, in its sole discretion, follow/not follow the recommendations of Paintsmart.
1.1-Terms and Conditions of Platform Services
Merchant shall be responsible to reimburse and/or absorb the cost of Orders for which Buyers have either refused to pay for or have claimed a refund for reasons that are solely attributed to Merchant (“Disputed Orders”), including but not limited to:
Buyer’s expectations not being met or Buyer dissatisfaction with regard to the quality of items/products supplied by the Merchant;
Expired Products
Buyer receiving inferior quality products
The Merchant shall be solely responsible for reviewing information on the Platform and shall ensure that all information mentioned / advertised is up to date and in accordance with Applicable Laws. The Merchant shall update all such information and inform Paintsmart about the same in accordance with these Merchant Terms. b. The Vendor shall be solely responsible for any warranty /guarantee of the products sold to the Buyers and in no event shall it be the responsibility of Paintsmart.
Merchant personnel shall not be rude, behave discourteously, or use foul or abusive language at any interaction. It shall at all time promptly report to Paintsmart immediately, any behavioural issue by such PDPs or Paintsmart representatives or Buyers for suitable action.
Merchant shall not list any product that is prohibited, illegal, or otherwise restricted under applicable laws and regulations.
Notwithstanding these terms and conditions, Paintsmart reserves the right to delist products, temporarily discontinue or terminate the Services with immediate effect for any breach or non-compliance by the Merchant which includes.
1.2-CONFIDENTIAL
Vendor shall be responsible for maintaining confidentiality of their login ID and password details and all activities that occur with the use of your login and password in Merchant interface/ Platform.
Vendor is obliged to the use Platform by its own and is strictly not transferable.
Communications When you use the Merchant interface/Platform or send emails, other data, information, or communication to us, you agree and understand that you are communicating with us through electronic records and you consent to receive communications via electronic records from us periodically or as and when required. We may communicate with you by email or any other mode of communication, electronic or otherwise.
All business, technical, and pricing information exchanged between the parties shall remain confidential and not be disclosed to third parties without prior written consent.
1.3-Modify and Notification
These Vendor T&C are subject to modifications, and we reserve the right to modify/change the Vendor T&C and other paintsmart policies at any time by posting changes on the Platform and we may intimate you of the changes.
Paintsmart might choose to communicate such modifications in a separate email and any other form of communication to you for your ready reference. However, Vendor shall, at all times, be responsible for regularly reviewing the Vendor T&C and other Paintsmart policies and note the changes made on the Platform, including but not limited to this page. Your continued use of the Platform and the Platform Services after any change is posted or shared with you, confirms your acceptance of the amended Seller T&C and other Paintsmart policies.
2. Vendor Registration & Eligibility
Vendor must be a registered business entity (Proprietorship, Partnership, or Pvt Ltd) with valid GST, PAN, and Bank Account.
All vendor information, documents, and KYC must be accurate and updated at all times.
3. Product Listing, Pricing & Commercial Terms
3.1- Product Submission
Vendors shall upload complete and accurate product details — including title, description, price, category, specifications, and images Policy details — through the Paintsmart Seller Hub or any other mode authorized by Paintsmart for listing and approval. Upon product submission, the product category displayed on the Seller Hub shall be treated as indicative only, based on the information initially provided by the vendor and subject to Paintsmart’s verification.
3.2- Indicative Commercials, Fees & Taxes
Paintsmart shall charge a 20% convenience fee (Platform fee) on every successful sale made through the Paintsmart platform.
The commission is calculated on the final order value, of product price (basic Price) and excluding of GST and delivery charges (if any).
This fee is automatically deducted from the vendor’s payout during settlement.
Service and Transaction Fees
In addition to the 20% Platform fee, Paintsmart may deduct applicable payment gateway charges, transaction fees, and any logistics or shipping fees incurred while processing customer orders.
Such charges will be transparently reflected in the vendor’s monthly statement or settlement report.
Settlement of Payments
After deducting the Platform fee and other applicable charges, the remaining amount (net payable) shall be credited to the vendor’s registered bank account within 7-10 business days after successful order delivery and confirmation.
Settlements will be made only for completed transactions not subject to returns, cancellations, or disputes.
If any return applicable for your order the settlement will be made and credited within 7-10 days.
Taxes
Paintsmart will charge GST on the 20% Platform fee as per applicable law.
Vendors are solely responsible for charging and remitting GST or other applicable taxes on their product sales to the customer.
Vendors must ensure their GSTIN and other tax details are correctly updated in the Paintsmart Seller Hub to avoid compliance issues.
Invoice & Reporting
Paintsmart will issue a commission invoice to the vendor for the deducted Platform fee and any related charges. Vendors are required to maintain proper records of all invoices, tax filings, and settlements for audit and compliance purposes.
Revised Fee Structure
Paintsmart reserves the right to revise the commission or Platform fee in the future with prior written notice of 7 days to vendors. Any changes shall be automatically applicable to new transactions post the effective date of such notice.
Promotional and Special Campaigns
Paintsmart may, at its discretion, offer promotional discounts or special commission rates during campaigns or events. Such revised rates will be communicated in writing and will apply only for the specific campaign duration.
Withholding and Adjustments
Paintsmart may withhold or adjust vendor settlements to recover:
Refunds issued to customers,
Penalties for policy violations, or
Costs associated with product returns or non-compliance. Detailed deduction reports will be available in the vendor’s Seller Dashboard.
3.3- Category Reclassification
Paintsmart reserves the right to reclassify or relocate products to a more appropriate category if found misclassified or misleading. The corresponding 20% Platform fee applicable to the revised category shall apply automatically.
3.4- Category Reclassification
Vendors are responsible for reviewing their Product listing status, applicable Platform fee, and product categories regularly in their Seller Hub dashboard.
Paintsmart shall provide prior notice (minimum 7 days) before making any general change to platform-wide convenience fee or commercial policies.
Vendors acknowledge that continued use of the Paintsmart platform after such notice constitutes acceptance of the updated terms.
4. Order Management & Fulfillment
Once an order is confirmed, Vendor must process and dispatch it within the committed handling time.
Vendor is responsible for proper packaging, labeling, and ensuring safe delivery of goods to customers.
In case of delayed or failed delivery, Paintsmart reserves the right to cancel the order and refund the customer.
Paintsmart may provide logistics support through partnered courier/shipping providers.
Vendor Should manage real time Status of item Stock/Inventories and outlet operations time on the Portal.
5. Payment & Settlement
Customer payments are collected securely by Paintsmart’s payment gateway partner
The total order amount is received by Paintsmart, which then deducts:20% platform/ facilitator service fee any applicable payment gateway or transaction charges
The remaining will be Credited to the vendor’s registered bank account within 7-10 business days (after order completion).
4. Settlement reports will be available in the vendor dashboard.
6. Product Returns and Refund Policy
6.1-Return Acceptance
Vendors shall accept returns of products sold through the Paintsmart platform in the following cases:
the product is defective, damaged, or not as described;
the wrong product or quantity was delivered;
the product is expired, unsafe, or otherwise non-compliant with applicable laws;
the customer has raised a valid return request as per Paintsmart’s Return Policy.
6.2-Replacement or Refund Obligation
If the returned product is verified as defective or incorrect, the vendor shall either:
dispatch a replacement product within 7-10 days Exchange / returned Products will be delivered within 7-10 business days., or
authorize a full refund and Refunds will be credited to the original payment method within 7 business days from confirmation.
Refunds shall be processed by Paintsmart on behalf of the vendor through the payment gateway, and the vendor’s due settlement shall be adjusted accordingly
6.3-Return Request Handing
Upon receipt of a return request, Paintsmart will verify the reason and communicate it to the vendor.
The vendor must acknowledge and approve the return within 48 hours of notification.
Once the product is received back, the vendor must inspect the item within 7-10days and confirm its condition to Paintsmart
6.4-Refund Timeline
For all approved return cases, the vendor shall initiate the refund or replacement within 7-10days from the date of receiving the return notification from Paintsmart.
In the case of refund, the vendor shall reimburse Paintsmart and the refund amount will be credited within the same 7-10 -business days.
In the case of replacement, the vendor shall ensure dispatch of the replacement product and it will be delivered within 7-10 days.
6.5- Return Logistics and Costs
If a return is due to product defect, damage, or incorrect item supplied, the vendor shall bear the reverse shipping cost and any applicable handling fee.
If the return is due to a customer’s change of mind and falls within the return policy, Paintsmart will bear or share the logistics cost as per platform policy.
6.6- Return Verification and Quality Checks
Vendors shall ensure that all returned products are properly checked, recorded, and documented before restocking or disposal.
Any product found non-resellable (damaged beyond repair or tampered with) shall be properly disposed of at the vendor’s expense.
6.7- Product Return and Legal Compliance
Vendors must immediately notify Paintsmart in writing if any of their products are subject to a manufacturer recall, safety notice, or government ban.
Vendors are solely responsible for recall logistics, customer communication, and replacement costs associated with such events.
7. Intellectual Property & Content Rights
Vendor retains ownership of product trademarks, logos, and descriptions but grants Paintsmart a non-exclusive right to display and market the products.
Paintsmart may use product images and details for advertising, promotional, or marketing purposes.
8. Term & Termination
This Agreement remains valid unless terminated by either vendors/parties with 15 days’ written notice.
Paintsmart may suspend or terminate vendor accounts for policy violations, fraud, or non-performance.
9. Governing Law
This Agreement shall be governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the Erode, Tamil Nadu courts.
10.Notice
All notices under these Vendors T&C shall be sent by registered post acknowledgment due, contemporaneous courier or email or hand delivered to the address mentioned below Platinum Specialties under the Brand Name of Paintsmart 3/2, Kumalankuttai Road Opp GHS School Kumalankuttai, Erode- 638011 Tamil Nadu, India.Outer, between9.30 am to 6.30 pm from Monday to saturday. If the vendor notices any discrepancy in the Settlement of Collections, the vendor may raise a ticket by writing an email to partnersupport@paintsmart.in and the same will be mutually resolved by both parties within 15 days from the date on which the ticket was raised. Paintsmart shall issue notice to Merchant vide registered post acknowledgment due, contemporaneous courier, hand delivery, or email or mobile number registered with Paintsmart.
11. Acceptance
By registering as a vendor and using Paintsmart’s platform, you agree to comply with all the above terms and conditions and any additional policies published on the Paintsmart website.
